Unter Betrachtung der internationalen Kapitalmärkte und der immer weiter voranschreitenden Globalisierung im Finanzsektor rückt der Aktienrückkauf als Instrument des wertorientierten Managements immer mehr auch in den Fokus der deutschen Aktiengesellschaften und deren Investoren. In Deutschland noch bis ins Jahr 1998 verboten, in den Vereinigten Staaten bereits seit Jahren zu den Standards der Ausschüttungspolitik gehörend, eröffnete die Neuregelung des § 71 Abs. 1 AktG im Zuge des Gesetzes zur Kontrolle und Transparenz im Unternehmen (KonTraG) nunmehr auch den deutschen Gesellschaften die Möglichkeit, eigene Aktien zu erwerben. Als ein Anzeichen der zunehmenden Präferierung des Instruments "Aktienrückkauf" lassen sich jährlich zahlreiche Unternehmen auf ihren Hauptversammlungen die Möglichkeit des Rückkaufs eigener Aktien einräumen. Hier seien aktuelle beispielsweise die Commerzbank, Daimler oder der TUI-Konzern genannt. Ziel dieser Arbeit ist eine kritische Ausarbeitung einer Vorteilsanalyse von Aktienrückkäufen aus Sicht der Aktionäre. Der Text gliedert sich neben der Themeneinführung in Kapitel 1 in drei weitere Abschnitte. Im Rahmen des zweiten Kapitels werden Auswirkungen für die Aktionäre in Abhängigkeit vom jeweiligen Rückkaufsverfahren analysiert. Hierzu erfolgt zunächst eine Aufschlüsselung in die einzelnen Rückkaufsmethoden und eine differenzierte Gegenüberstellung. Im nachfolgenden Kapitel konzentriert sich die Auswertung der Vor- und Nachteilhaftigkeit für die Aktionäre auf die Auswirkungen des unternehmerischen Entscheidungshorizontes. Im Mittelpunkt steht hier zum einen die Betrachtung unternehmensinterner Faktoren wie des Shareholder-Ansatzes und der Kennzahlendimension. Zum anderen werden unternehmensexterne Gesichtspunkte wie steuerliche Aspekte und aktienrechtliche Mitbestimmungsmöglichkeiten ins Zentrum der Analyse gestellt.
